1. Acceptance of Terms

By accessing or using ImportReady ("the Service", "we", "us"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and the operator of ImportReady.

2. Description of Service

ImportReady is a browser-based tool that analyzes and validates Shopify product CSV files. The Service processes files locally in your browser. No file data is transmitted to any server operated by ImportReady.

The Service is available in two tiers:

• Free tier: Unlimited file analysis, full 15-rule audit, quality score, and up to 5 fix previews.
• Pro tier: All Free features plus the ability to apply auto-fixes, download a corrected CSV, full fix previews, and PDF/CSV report export.

3. Eligibility

You must be at least 18 years of age to use the Service or have the consent of a parent or legal guardian. By using the Service you represent that you meet this requirement.

4. License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

You may not:

• Copy, modify, distribute, or create derivative works of the Service;
• Reverse-engineer, decompile, or attempt to extract source code;
• Resell or sublicense access to the Service;
• Use the Service in any way that violates applicable law.

5. Pro License Keys

Pro tier access is granted via a license key tied to your purchase. License keys are personal and may not be shared, transferred, or resold. We reserve the right to revoke any license key that we reasonably believe is being misused.

6. Payments and Refunds

Pro subscriptions are billed on a monthly or annual basis as indicated at checkout. All fees are stated in USD and are exclusive of applicable taxes, which are your responsibility.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time. We may, at our sole discretion, provide refunds on a case-by-case basis within 14 days of purchase.

7. Intellectual Property

All intellectual property rights in the Service, including its code, design, branding, and documentation, are owned by or licensed to the operator of ImportReady. Nothing in these Terms grants you any right to use our trademarks, logos, or service marks.

Your CSV files remain your property. We make no claim to any data you process through the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any validation results will be accurate or complete. You are solely responsible for verifying the output before using it in your Shopify store.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL IMPORTREADY OR ITS OPERATOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability to you for any claim arising from or relating to the Service shall not exceed the amount you paid for the Service in the twelve months preceding the claim, or €50, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless ImportReady and its operator from any claims, losses, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice. We may also update these Terms at any time. If we make material changes, we will update the "Last updated" date above. Continued use of the Service after any such changes constitutes your acceptance of the new Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of France, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of France.

If you are a consumer resident in the European Union, you may have additional rights under applicable consumer protection laws that cannot be waived by these Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ImportReady regarding the Service and supersede all prior agreements.
